ParcelsNest Terms & Conditions

Legal Detail:

1. By creating an account, signing up, or logging into ParcelsNest (the "Platform"), each User expressly acknowledges that they have read, understood, and agreed to these Terms.
2. Each User is personally and fully responsible for all activities conducted through their account.
3. Organizations are responsible for all staff or agents who access the Platform using the organization's credentials.
4. Failure to comply constitutes a material breach and may result in immediate suspension, termination, and legal remedies, including injunctive relief and monetary damages.

Legal Detail:

1. ParcelsNest provides a parcel management and recording system only.
2. ParcelsNest disclaims any liability for loss, damage, theft, delay, misplacement, or misdelivery of parcels.
3. ParcelsNest does not create any contractual, transactional, fiduciary, or business relationship between Users and any third parties, including couriers or parcel recipients.
4. Users acknowledge that ParcelsNest's role is limited to providing access to the Platform for internal record-keeping and management purposes.

Legal Detail:

1. Each User is granted a limited, revocable, non-transferable license to access the Platform.
2. Each account is unique to the User; credential sharing is strictly prohibited and considered a serious violation.
3. Organizations remain responsible for assigning, monitoring, and revoking access.
4. ParcelsNest reserves the right to audit account activity to enforce compliance with these Terms.
5. Unauthorized sharing or use of credentials may result in immediate suspension, termination, and legal action.

Legal Detail:

1. Only Users authorized for operational parcel recording are permitted access.
2. Unauthorized parties, including but not limited to developers, IT personnel, consultants, contractors, auditors, vendors, or competitors, are strictly prohibited.
3. Attempts to reverse engineer, benchmark, analyze, or replicate the Platform constitute violations and may result in civil and criminal liability.
4. ParcelsNest may seek injunctive relief, damages, and legal remedies to prevent unauthorized access, globally.

1. Users shall use the Platform only for internal parcel record-keeping purposes.
2. Prohibited activities include, but are not limited to:
   • Circumventing security measures
   • Reverse engineering, decompiling, or disassembling the Platform
   • Extracting, copying, or reproducing workflows, architecture, or system logic
   • Permitting unauthorized access
3. Any attempt to misuse or circumvent the Platform is considered a serious breach.

Legal Detail:

1. ParcelsNest may disclose parcel information only to:
   • Couriers for delivery verification
   • Government or law enforcement authorities upon lawful request
2. ParcelsNest does not sell, license, or distribute User data for commercial purposes.
3. Users must ensure that all data entered complies with applicable privacy laws.

1. Users are solely responsible for all entries, updates, and actions within the Platform.
2. Users shall indemnify, defend, and hold ParcelsNest harmless from claims, losses, damages, or costs arising from misuse, breach of these Terms, or unauthorized access.
3. Users remain liable for any unauthorized access even if performed by staff or contractors authorized by the User.

Legal Detail:

1. All software, databases, interfaces, architecture, trademarks, and other intellectual property rights are exclusive property of ParcelsNest.
2. Unauthorized copying, reverse engineering, extraction, or replication constitutes IP infringement.
3. ParcelsNest reserves all rights not expressly granted.

1. ParcelsNest shall not be liable for direct, indirect, incidental, consequential, punitive, or special damages, including loss of parcels, system downtime, or data loss.
2. Total liability, if any, shall not exceed the fees paid to ParcelsNest in the 12 months preceding the claim.
3. Users assume all risk associated with using the Platform.

1. ParcelsNest may suspend or terminate any account immediately for violations or suspected violations of these Terms.
2. Termination does not relieve Users of liability for prior actions.
3. ParcelsNest may take legal action to recover damages arising from violations.

1. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where ParcelsNest is incorporated, without regard to conflict of law rules.
2. Users agree that disputes arising from these Terms shall be resolved by binding international arbitration under the rules of the International Chamber of Commerce (ICC) or another recognized arbitration body.
3. Arbitration may be conducted remotely via electronic means or in a location determined by ParcelsNest.
4. Users submit to the jurisdiction of the courts in the country of ParcelsNest incorporation solely for enforcement of arbitration awards, injunctive relief, or intellectual property claims.
5. ParcelsNest may seek injunctive or equitable relief in any jurisdiction worldwide to prevent unauthorized access, misuse, or IP infringement.

Legal Detail:

1. These Terms constitute the entire agreement between ParcelsNest and Users, superseding prior agreements.
2. Any modification must be in writing and signed by ParcelsNest.

1. Violations, including credential sharing, unauthorized access, reverse engineering, prohibited use, or failure to comply with Section 0, may result in:
   • Injunctive relief
   • Civil and criminal liability
   • Recovery of legal fees and costs incurred by ParcelsNest
2. Users are jointly and severally liable for actions performed by staff, contractors, or agents authorized by them.
3. ParcelsNest reserves all legal remedies available worldwide for violations.
